The website www.mintit.in (the “Website”) and the mobile application (“MINTIT APP”) collectively referred to as the "Platform", is operated by Simplus Wealth Managers Private Limited, having its registered office at Fl No 304 B, Kanyakapuram Appartment, Dabha, Waddhamna, Hingna, Nagpur-440023, Maharashtra, as a SEBI registered Non-Individual Investment Adviser having SEBI registration number INA000022987 and BSE Enlistment Number 2554, being a wholly owned subsidiary of MintBox Fintech Private Limited, having its registered office at Fl No 304 B, Kanyakapuram Appartment, Dabha, Waddhamna, Hingna, Nagpur-440023, Maharashtra, as an AMFI-registered mutual fund distributor, having AMFI registration number ARN-281018, (hereinafter collectively referred to as "Group," “MINTIT”, "We," "Us,” or "Our,” whose expression shall include its affiliates, subsidiaries, successors and assigns).
For the purpose of these terms of use, wherever the context so requires “you”, “client” or “user” or similar terminology are all in use in reference to the user of this Platform.
MINTIT provides its services (the “Services”) to you in accordance with the notices, terms, and conditions set forth in this agreement (hereinafter referred to as the “Terms”). In addition, when you use our website with the domain name “www.mintit.in” or mobile application known as “MINTIT”, collectively referred to as the “Platform”, you will be subject to the rules, guidelines, policies, terms, conditions and documents applicable to such service, and they are incorporated into these terms by this reference.
In addition to these terms of use, you shall also be bound by the individual product terms & conditions, and the privacy policy, if any.
By mere use of the Platform, you shall be contracting with MINTIT, and these terms including the policies, represent a binding contract between you and us. Additionally, these Terms of Use also form an integral part of the Investment Advisory Agreement and any other agreement(s) that may be executed between MINTIT and the customer(s). Therefore, you should read these terms carefully before you start to use the services. MINTIT retains the right to deny access to anyone who we believe has violated any of these terms.
ACCESSING, BROWSING OR OTHERWISE USING THIS PLATFORM INDICATES YOUR ACCEPTANCE TO ALL OF THESE TERMS, AND YOU ARE ADVISED TO READ THIS AGREEMENT CAREFULLY BEFORE PROCEEDING. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, PLEASE REFRAIN FROM USE THE PLATFORM.
By accessing or using the Platform, you affirm that you are at least 18 years of age and capable of forming a binding agreement with us. You also agree to comply with all applicable laws and regulations while using the Platform.
We reserve the unilateral right to revise these terms from time to time and at any time without providing any intimation to you and at our sole discretion. We will post the new version of these terms or any policies on this Platform, and any change or modification to these terms shall be effective immediately from the date of such upload of the revised terms on the Platform. Your continued use of the Platform following the modifications to the terms and policies constitutes your acceptance of the modified terms and conditions whether or not you have read them and shall be binding on you. For this reason, you are advised to frequently review these terms, and other policies. Changes may be made to these Terms for reasons including, but not limited to, reflect changes in our business, accommodating new policies and changes in regulations, adding/removing/modifying functionalities, accurately capture activities carried out by us.
3.1 In order to optimise and improve your experience, we may update the Platform from time to time, and may change the content, display or form at any time without prior notice. We do not guarantee that the Platform, or any content provided or displayed on it, will be free from errors or omissions. Further, we are under no obligation to update the Platform or any of the content provided on it.

3.3 We reserve the right to suspend the access for all or part of the Platform for reasons of business operations, maintenance, improvements, regulatory compliance or for any reason at the sole discretion of the MINTIT;
4.1 Registration and Information.
In order to use the Platform and avail the services, you are required to register (sign up) by creating an account. The account information will be used strictly in accordance with the Privacy Policy and these Terms, as per your consent. Through your usage of the Platform, it is deemed that you have read, agreed, accepted and consented to all of the terms and conditions contained in these terms, including the privacy policy. You will be responsible for maintaining confidentiality of your account, password, and restricting access to your computer, and you hereby accept responsibility for all activities that occur under your account and password.
During the registration process, you are also required to submit your personal information, which may include information relating to your name, age, gender, mobile device, location, residential address, mobile number, email address, date of birth, Permanent Account Number (PAN), Aadhar card number, etc. You agree that the information provided by you upon registration and at all times thereafter will be true, accurate, current, and complete. You agree to maintain and update this information to keep it true, accurate and complete at all times while using the Platform and availing of the services.
MINTIT will verify your identity on its Platform using your phone number or email. Authentication will be carried out through a password you select, a one-time password (OTP) sent to your email or mobile phone, third-party authentication services like Google, or biometric identification enabled by your device. Any instructions or communications authenticated in this manner will be treated as if they originated from you.
4.2 Primary and Secondary responsibility
If you are accessing, browsing, and using the Platform or availing the services on someone else’s behalf, you represent that you have the authority to bind that person to all the terms and conditions herein. In the event that the person refuses to be bound as the principal to these terms, you agree to accept liability for any harm cause by any wrongful use of the Platform resulting from such access or use of the Platform in whatsoever nature.
If you know or have any reason to believe that the security of your account has been breached, you should contact us immediately at the ‘Contact Information’ provided on the Platform. If we have found a breach or suspected breach of the security of your account, we may require you to change your password temporarily or permanently block or suspend your account without any liability on us.
4.3 Prohibited Uses.
You shall not use the Platform for any illegal, fraudulent, unlawful, unauthorized or prohibited purposes (“Prohibited Uses”) nor may you, in the use of the Platform, violate any laws in your jurisdiction (including, but not limited to copyright or trademark laws).
You shall also not use any information available on the Platform to solicit any third person, nor impersonate as a person associated with the Platform or MINTIT.
You will comply with all applicable laws, rules and regulations in your use of the Platform. In the event you use this Platform for any prohibited uses, we reserve the right to immediately and without notice, suspend/delete your account and ban you from accessing the Platform in the future.
We reserve the right to refuse service and/or terminate accounts without prior notice if these terms are violated or if we decide, in our sole discretion, that it would be in our best interests to do so. You are solely responsible for all contents that you upload, email or otherwise transmit via the Platform. The information provided to us shall be maintained by us in accordance with our privacy policy.
MINTIT offers services as a registered investment adviser through Simplus Wealth Managers Private Limited, a SEBI registered Investment Adviser (INA000022987) and BSE Enlistment number (2554). MINTIT further offers services as a mutual fund distributor registered with the AMFI to distribute mutual funds through Mintbox Fintech Private Limited (ARN 281018) also. You are solely responsible for your investment decisions.
We will provide you access to our Platform for various services offered from time to time ("Services"), which may include:
5.1 Portfolio Management: Managing your portfolio in accordance with the investment objectives and restrictions stated in the agreement with you, and complying with the SEBI (Portfolio Managers) Regulations, 2020, as amended from time to time.
5.2 Investment Management: Managing your investment according to the fund's objectives.
5.3 Investment Transactions: Buying, selling, retaining, or otherwise dealing in any investments, placing deposits, subscribing to issues and offers for sale, and accepting placements of any investments. This includes executing transactions in various markets and making day-to-day decisions regarding your funds.
5.4 Mutual Fund Transactions: Facilitating the subscription and redemption of mutual fund units by transmitting your money and instructions to the relevant Asset Management Companies ("AMC") through your account.
5.5 Non-Financial Transactions: Facilitating non-financial transactions, including services such as updating your information recorded by the AMCs.
5.6 Information and Recommendations: Providing information and offer documents of all mutual funds available through this Platform, along with investment options for specific asset classes.
5.7 Investment Advisory Services: Where you have separately opted in and executed an Investment Advisory Agreement with MINTIT, MINTIT shall, in its capacity as a SEBI-registered Investment Adviser, (a) undertake a risk profiling and suitability assessment of your financial situation, investment objectives, and risk appetite; (b) provide advice on investment products, financial planning or portfolio construction that is appropriate to your risk profile and stated goals; and (c) periodically review such advice, subject to the terms of the Investment Advisory Agreement. Advice is rendered strictly in accordance with the SEBI (Investment Advisers) Regulations 2013 (“IA Regulations”), and the Code of Conduct prescribed under the Third Schedule thereto.
5.7.1 Fee-Only Model and No Conflict of Interest: In accordance with Regulation 22 of the IA Regulations, MINTIT charges an advisory fee directly to you for Investment Advisory Services and does not receive distribution commission from Asset Management Companies or other product manufacturers on products that MINTIT has advised you to invest in, in the process of offering its Investment Advisory Services, for so long as you remain an advisory client in respect of that product. The applicable fee structure, fee basis (fixed fee or percentage of assets under advice), and maximum fee cap prescribed by SEBI from time to time shall be separately disclosed to you before you avail Investment Advisory Services and shall be set out in your Investment Advisory Agreement.
5.7.2 Segregation of Advisory and Distribution Activity: Where MINTIT acts as your mutual fund distributor for a given product, it shall not concurrently act as your Investment Adviser in respect of that same product for the same client, and vice versa, in accordance with Regulation 22 of the IA Regulations and applicable SEBI circulars on segregation of advisory and distribution activities.
5.7.3 No Assured or Guaranteed Returns: Investment advice provided by MINTIT does not guarantee any specific performance or assured returns. All investments are subject to market risk, and you should read all scheme-related and product-related documents carefully and make your own informed decision, notwithstanding any advice rendered.
5.8 Customer Support: Responding to your queries related to your account, services offered and acting as your point of contact for various services.
5.9 Additional Services: Providing any other services incidental to, or connected with, portfolio management services, investment management services, distribution of mutual fund investment services, or any other related services.
These services are subject to the terms and conditions outlined in this agreement with us.
Investment Advisory Services offered by MINTIT are distinct from, and are not to be confused with, the mutual fund distribution services described in this Section 5. Mutual fund distribution-related information, offer documents and tools made available on the Platform are provided on a non-advisory, execution-support basis only and must not be construed as personalised investment advice. Personalised investment advice, where opted for, is furnished solely by MINTIT in its capacity as a SEBI-registered Investment Adviser, only pursuant to a duly executed Investment Advisory Agreement, completion of your risk profiling and suitability assessment, and in accordance with the IA Regulations.
Your use of the Platform is also governed by our privacy policy, which explains how we collect, use, share, and protect your personal information. By using the Platform, you consent to the collection and use of your information as outlined in our privacy policy.
All material and content on the Platform, including images, illustrations, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software, is our property, or the property of our affiliates or content suppliers, and is protected by Indian and international intellectual property law, including copyright, authors’ rights, database rights laws, trademarks, and other intellectual property rights that are owned and controlled by us or by other parties that have licensed their material to us. The compilation of all content on Platform is our exclusive property, and is protected by laws of India and international copyright and database rights laws. All software used on the Platform is also our exclusive property, or the property of our affiliates or software suppliers, and is protected by Indian and international copyright, authors’ rights law, and other intellectual property rights. You hereby agree to not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by e-mail or other electronic means whether directly or indirectly, and you must not assist any other person to do so. Without the prior written consent of the owner, modification of the materials, use of the materials on any other website or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks and other proprietary rights, and is prohibited.
The Platform is presented “as is” and “as available” basis without any warranty or condition, express, implied or statutory. Neither we nor our affiliates, partners, directors, employers, agents, licensors or suppliers make any representations or warranties of any kind whatsoever, express or implied, in connection with these terms and conditions or this Platform or any of the content, including but not limited to warranty or guarantee as to the accuracy, completeness or timeliness of the information (including news, prices, statistics, analysis and the like) provided through its Platform.
You agree that in no event will MINTIT or its affiliates, directors, employees, agents, licensors, partners, be liable to you for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever) arising out of or relating to:
8.1 these terms;
8.2 the Platform; or
8.3 your use or inability to use the Platform.
In no event will MINTIT or any of its contractors, directors, employees, agents, third party partners, licensors or suppliers be liable to you for any losses, damages, liabilities, and causes of action arising out of any act, omission or negligence to which you contributed.
We do not warrant that the access or usage of the Platform will be uninterrupted, timely, secure, or error-free.
MINTIT does not warrant that the results that may be obtained from the use of the Platform will be accurate or reliable.
You agree that no claims or action arising out of, or related to, the use of the Platform or these terms may be brought by you more than 1 (one) year after the cause of action relating to such claim or action arose. If you have a dispute with us or are dissatisfied with the Platform, termination of your use of the Platform is your sole remedy. We have no other obligation, liability, or responsibility to you.
To the fullest extent permitted by law, MINTIT shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Platform or any services provided through the Platform. This includes, but is not limited to, damages for loss of profits, goodwill, data, or other intangible losses.
MINTIT may conduct surveys or quizzes, through itself or through third-party affiliates, to gather information and provide tailored investment options on our Platform. These options may include a list of funds to invest in mutual funds with varying risk levels such as moderate, high, or very high-risk funds based on your responses. If you provide incorrect or inaccurate information in response to these surveys or quizzes, MINTIT shall not be liable for the investment options provided. It is your sole responsibility to conduct due diligence, seek advice from investment advisors, and make informed investment decisions.
You agree to indemnify, defend, and hold harmless MINTIT, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, your infringement of any intellectual property or violation of any other rights of any third party, breach of any laws, rules, regulations, codes, ordinances etc. by any governmental and quasi-governmental authorities.
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Nagpur, India.

We process transactions through a third-party payment gateway. Please ensure that you use only the bank account registered with us for transactions. Funds are not transferred to us directly, instead, they are sent to the bank accounts of Asset Management Companies (AMCs) via a third-party payment gateway.
Transactions are considered complete only after the successful transfer of funds from your registered bank account to the AMCs. Once a transaction is completed and units are allotted by the AMC’s, it cannot be cancelled. If you wish to withdraw your money, you will need to redeem the units from the mutual funds.
If your money is successfully debited but the transaction fails or is rejected by the AMC’s, the amount will be refunded to your registered bank account within 10-15 working days as per the refund policies of the respective AMCs.
This "no cancellation" position applies to completed mutual fund transactions only. For Investment Advisory Services, you may cancel or terminate your Investment Advisory Agreement by providing written notice to MINTIT in accordance with the terms of the Investment Advisory Agreement executed by you. Cancellation & Refund of advisory fees on termination will be governed in accordance with the terms of the Investment Advisory Agreement.
14.1 Entire Agreement: These Terms, together with our privacy policy, constitute the entire agreement between you and MINTIT regarding your use of the Platform.
14.2 Severability: If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.3 Waiver: No waiver of any term of these terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
14.4 Force Majeure: MINTIT shall not be liable for any delay or failure in performing its obligations under this agreement if such delay or failure is caused by events beyond its reasonable control ("Force Majeure"). During the period of Force Majeure, the time for MINTIT’s performance will be extended accordingly. Upon the cessation of the Force Majeure event, MINTIT will make reasonable efforts to promptly resume and fulfill its obligations.
For the purposes of this agreement, "Force Majeure" includes, but is not limited to, acts of God, floods, earthquakes, fires, explosions, strikes, wars, civil commotions, insurrections, embargoes, riots, political disturbances, lockouts, epidemics, pandemics, governmental actions, laws, regulations or orders, and systemic failures in electrical, telecommunications, network, or other utilities, including those due to cyber threats or risks.
Tax regulations require us to collect information about each investor’s tax residency. In certain circumstances (including if we do not receive a valid self-certification from you) we may be obliged to share information on your account with relevant tax authorities. If you have any questions about your tax residency, please contact your tax advisor. Should there be any change in information provided, please ensure you inform us promptly, i.e., within 30 days. If you are a US citizen or resident or green card holder, please include the United States in the foreign country information field along with your US Tax Identification Number. Foreign Account Tax Compliance provisions (commonly known as FATCA) are contained in the US Hire Act 2010. If you are classified as a passive Non-Financial Foreign Entity (NFFE) for FATCA purposes, please include in the section relating to ultimate beneficial owner (UBO) details of any specified US persons having controlling interest in the foreign country information field along with your US Tax Identification Number for FATCA purposes. MINTIT reserves the right to reject applications/restrict further investments or seek additional information from investors who have not provided the requisite information.
By continuing the use of the Platform and availing the services provided by MINTIT, the user is deemed to declare and consent to the following, without which he/she shall not be able to proceed further.
I hereby provide my consent to utilise my KYC information such as identity (name, PAN, age, etc.), address and signature for the purpose of validation and to comply with the legal and regulatory requirements.
I hereby provide consent to upload/ download my KYC records to/ from the CKYCR & KRAs for KYC purpose.
I hereby accept that for any transactions that are submitted offline, i.e., with wet signatures, the signature available in my KYC or other appropriate records would be used for signature verification, and in the event of such a signature not being available or legible, the AMC would be within its rights to carry out further checks to validate the authenticity of the request or reject any such offline request.
Having read and understood the content of the Scheme Information Document, Key Information Memorandum of the scheme and statement of additional information of MINTIT, I/we hereby apply for units of the scheme. I have read and understood the terms, conditions, declaration, details, rules and regulations governing the scheme/website.
I/we hereby declare that the amount invested in the scheme is from a legitimate source owned by me/ us only and is not designed for the purpose of the contravention of any law, including the provisions of the Income-tax Act, Anti Money Laundering Laws, Anti-Corruption Laws or any other applicable laws enacted by the Government of India from time to time. I/we have not received nor have been induced by any rebate or gifts, directly or indirectly in making this investment.
In the event the “Know Your Client” process is not completed by me/us to the satisfaction of the mutual fund, I/we hereby authorize the mutual fund, to redeem the funds invested in the scheme, in favour of the applicant, at the applicable NAV prevailing on the date of such redemption and undertake such other action with such funds that may be required by the law.
The ARN holder has disclosed to me/us all the commissions (trail commission or any other mode), payable to him for the different competing schemes of various mutual funds amongst which the scheme is being recommended to me/ us.
I/we confirm that I/we do not have any existing micro SIP/lumpsum investments which together with the current application will result in aggregate investments exceeding Rs. 50,000 in a year (applicable for micro investments only) with MINTIT.
For NRIs only: I/we confirm that I am/ we are Non-Residents of Indian nationality/origin and that I/we have remitted funds from abroad through approved banking channels or from funds in my/our Non-Resident External / Non Resident Ordinary / FCNR account.
I/we confirm that details provided by me/us are true and correct.
I / we have understood the information requirements of the FATCA and CRS along with instructions, and, hereby confirm that the information provided by me/us in this regard is true, correct, and complete. I/we also confirm that I/we have read and understood the FATCA & CRS Terms and Conditions and hereby accept the same. Further, I/we shall keep you forthwith informed in writing about any changes/modifications to the information provided or any other additional information as may be required by you from time to time;

The address as mentioned in the KRA will be the registered address for the investor in the records of the AMC.
I/we confirm that the payment of subscriptions to units is made through the bank account of the investor/joint bank account, where the first account holder is one of the joint holders of the bank account.
